Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Online Asset platform, including our website, applications, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By registering for or using the Service, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and references to “you” include that organisation.

2. Description of the Service

Online Asset provides a marketplace and transaction platform that connects buyers and sellers of online businesses and digital assets, together with related advisory, estimation, and escrow-adjacent tooling. We do not act as a broker, fiduciary, or party to any transaction between users unless expressly agreed in a separate written agreement. We may add, modify, or discontinue features at any time.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to keep it up to date. You must notify us promptly of any unauthorised use of your account or any other breach of security.

4. Acceptable Use

You agree not to misuse the Service. In particular, you may not: (a) violate any applicable law or regulation; (b) post false, misleading, or fraudulent listings; (c) infringe the intellectual property or privacy rights of others; (d) attempt to gain unauthorised access to any system or data; or (e) interfere with the integrity or performance of the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Fees and Payments

Certain features of the Service may be subject to fees, commissions, or subscription charges, which will be disclosed to you before you incur them. All fees are stated exclusive of applicable taxes unless otherwise noted. Except where required by law, fees are non-refundable once a transaction has completed.

6. Intellectual Property

The Service, including its software, design, trademarks, and content provided by us, is owned by Online Asset or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You retain ownership of the content you submit, and grant us a licence to host and display it as necessary to operate the Service.

7. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any listing, valuation, or user is accurate or trustworthy. You are solely responsible for your own due diligence before entering into any transaction.

8. Limitation of Liability

To the maximum extent permitted by law, Online Asset and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claim will not exceed the greater of the fees you paid to us in the twelve months preceding the claim or one hundred euros.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you breach these Terms or if we are required to do so by law. Upon termination, the provisions that by their nature should survive, including ownership, disclaimers, and limitations of liability, will remain in effect.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which Online Asset is established, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, unless mandatory consumer-protection law provides otherwise.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Service or by email and update the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
